Evaluation License Agreement
Issued by: BAYESIAN ENERGY LIMITED ("Licensor")
NOTE
By downloading or using the Software, you ("Licensee") agree to the terms of this Evaluation License Agreement. If you do not agree, do not download or use the Software.
1. License Grant
Licensor hereby grants the Licensee a limited, revocable, non-exclusive, non-transferable, and non-sublicensable license to use the Software solely for the purpose of internal, non-commercial evaluation and testing. This license does not include any right to use the Software in production, in a commercial setting, or to derive or facilitate any commercial benefit.
2. Term
This license is effective for a period of 90 days from the date of first download or installation, unless otherwise extended in writing by the Licensor. The Licensor reserves the right to terminate this license at any time and for any reason, with or without notice.
3. Restrictions
Licensee agrees not to:
Use the Software for any commercial, professional, or revenue-generating activity;
Share, distribute, or make the Software or any download link, installer, or installation package available to any third party;
Display, demonstrate, or allow access to the Software by any other individual or entity (including colleagues, subcontractors, or affiliates) without the Licensor’s prior written consent;
Copy, modify, reverse engineer, decompile, or disassemble the Software, in whole or in part;
Remove or alter any proprietary notices or labels on the Software.
4. Ownership
All rights, title, and interest in and to the Software, including but not limited to any intellectual property rights, remain solely with the Licensor. No ownership or other rights are transferred under this Agreement.
5. Confidentiality
The Software, all associated materials, and any information related to its functionality, performance, or features are the confidential information of the Licensor. Licensee agrees to keep all such information strictly confidential and not to disclose or permit access to any third party without the Licensor’s prior written approval.
6. Feedback
Any feedback, suggestions, or ideas provided by Licensee in relation to the Software shall be deemed non-confidential and non-proprietary. Licensor shall have a royalty-free, worldwide, irrevocable, perpetual license to use, implement, and incorporate such feedback into its products or services without obligation to Licensee.
7. No Warranty
The Software is provided “as is” and for evaluation purposes only. To the maximum extent permitted by law, Licensor disclaims all warranties, express or implied, including any warranties of merchantability, fitness for a particular purpose, or non-infringement. Licensor shall not be liable for any damages, whether direct, indirect, incidental, or consequential, arising out of the use or inability to use the Software.
8. Breach
Any violation of the terms set out in Sections 1, 3, or 5 shall constitute a material breach of this Agreement and may result in immediate termination of this license and potential legal action.
9. Amendments to Terms
BAYESIAN ENERGY LIMITED may update or modify this Agreement from time to time. Any such changes will be communicated to Licensees through reasonable means (e.g., via the Software, email, or website notice). Continued use of the Software after such notification constitutes acceptance of the amended terms. If you do not agree to the updated terms, you must discontinue use of the Software and delete all copies in your possession.
